Meiji Seika and Meiji Dairies to Establish Joint Holding Company and Merge on 1 April 2009

Meiji Seika Kaisha, Ltd., and Meiji Dairies Corp. have announced that agreement was reached on a share transfer plan at a meeting of both companies’ boards of directors on 11 September, and that a merger contract has been concluded. Assuming that approval will be given at the joint meeting of stockholders to be held on 26 November 2008, the companies have agreed to establish Meiji Holdings Co., Ltd. through a share swap on 1 April 2009 (planned). Through the merger, the companies are hoping to increase the value of the new Meiji brand while strengthening their existing business, increase their competitiveness through strengthened marketing, optimize work practices, and create a cost synergy
