HFL Sport Science to be reorganized following acquisition

HFL Sport Science Limited (“HFL”) to announce that it has been acquired by LGC Limited, a leading science and technology provider of food analysis, drug residues, forensic science and reference standards.

HFL Sport Science Limited (“HFL”) to announce that it has been acquired by LGC Limited, a leading science and technology provider of food analysis, drug residues, forensic science and reference standards.

Post acquisition is now in the process of integrating HFL into the LGC Group and, consequently, the assets and activities of HFL are being transferred to LGC Limited but the business shall continue to be known as HFL Sport Science (a trading division of LGC Limited). This integration will enable the company to bring increased resources and investment to the HFL team and enable to grow and improve the services.

HFL Sport Science Limit to transfer HFL’s agreement (the “Agreement”) to LGC, so that with the effect from 1 April 2011 LGC takes over the supple of services. In contractual terms, LGC becomes a party to the Agreement from 1 April 2011 in the place of HFL, undertaking to accept, observe, perform, discharge and benefit from all the obligations, liabilities and rights of HFL as if LGC had been a party to the Agreement at all times; and HFL is released and discharged from its obligations and liabilities, and from any claims and demands against it under the Agreement. This merger will have no material effect on the rights under the Agreement or the working relationship with the company.
