US-based Penton Media, Inc.'s (PTON) New Hope Natural Media division has announced the acquisition of Kosher World Conference & Expo from Shows International as the company expands its reach into kosher/specialty foods. Beginning in March 2006, the event will be co-located with Natural Products Expo West.

[6/20/2005] Heinz Buys Danone Units for $852 Million
According to an AP article, US-based H.J. Heinz Co. has agreed to acquire the HP Foods and Lea & Perrins sauce divisions from France's Groupe Danone for $852 million. According to the article, as part of the deal, Danone will grant Heinz a license to manufacture its Amoy brand of sauces in Europe.

US-based supplement and sports nutrition company Weider Nutrition International, Inc. (WNI) has announced the sale of its European subsidiary, its Haleko unit, to Croatia-based Atlantic Grupa for approximately $15.0 million. According to the company, the Haleko unit net sales of approximately $49.7 million and a loss from operations of $941,000 for the nine months ended February 28, 2005.

Canada-based natural and organic food company SunOpta Inc. (STKL) (CA:SOY) has announced that it has completed the acquisition of the outstanding shares of US-based Cleugh's Frozen Foods, Inc. According to the release, Cleugh's is a third generation family business with annual revenues of in excess of US$50 million.

Norway-based Orkla ASA has announced that it has entered into an agreement to acquire all of the shares of Norway-based health products company Collett Pharma from Ferd Private Equity Fund, who took over the company as well as Pronova Biocare. As part of the transaction, Orkla will take over Pronova's European consumer business. Collett's current brands include Collett, Sanasol, Triomega, Picasol, Gerimax, Nutrilett and Dr. Fedon Lindberg's products.

Israel-based Frutarom (UK:FRUT) has announced the acquisition of the Flavoring Extracts business of A.M. Todd Botanical Therapeutics in a transaction to be executed through Frutarom's subsidiary, Frutarom USA Inc. According to the company, the Flavorings Extracts business generated $1.8 million in sales for 2004.

US-based supplement company NBTY, Inc. (NTY) has announced the acquisition of Canadian vitamin and supplement company SISU Inc. for $5.7 million (USD) in cash and the repayment of SISU's $2.5 million (USD) indebtedness. SISU had sales of approximately $14 million (USD) for the fiscal year ended September 30, 2004.

According to an article in The Times Online, UK-based Premier Foods (owner of Typhoo Tea and Loyd Grossman sauces), has acquired UK-based Marlow Foods, the owner of meat substitute products company Quorn, in a deal worth £172 million.

[6/7/2005] NBTY to Acquire Solgar
US-based supplement company NBTY, Inc. (NTY) has announced that it has signed a contract to acquire substantially all the assets of Solgar Vitamin and Herb, a division of Wyeth Consumer Healthcare (Wyeth NYSE: WYE) for $115 million. According to the release, Solgar had 2004 sales of approximately $105 million, the transaction includes net assets of $64 million, and, subject to regulatory approvals, is expected to close by August 2005 with the purchase price adjusted based on actual net assets transferred at closing. According to MarketWatch, NBTY has said it is looking to boost its presence in the health food store market.

France-based Naturex, S.A. (Paris Bourse Eurolist C: 54694 NRX) and US-based ingredient company Pure World, Inc. have announced that they have entered into a definitive agreement for Naturex, S.A. to acquire Pure World, Inc. for U.S. $4.30 per share in cash, or approximately U.S. $36.8 million. According to the companies, the transaction is expected to be completed in late July of this year, with Pure World, Inc. becoming a wholly-owned subsidiary of Naturex, S.A.
