XStream will buy Dark Dog for $34 million in a combination of cash and stock. The closing is scheduled for September 30, 2002.

The acquisition is just one of a number slated for the next two years and will allow XStream to further enhance Dark Dog's position in the global market. Already widely known in Europe, the award-winning Dark Dog is currently distributed in over 20 countries worldwide and is second globally in market brand recognition only to Red Bull, the company that currently leads the energy drink segment of the "New Age" beverage market.

"Dark Dog produces an outstanding product and it is a company that we are proud to be in partnership with and have as part of the XStream family," said Ted Farnsworth, Chairman and Founder of XStream Beverage Group Inc. "XStream's goal is to continue to gain market share in the global energy drink space."

"Dark Dog has an image as the extreme energy drink," Farnsworth explained. "It's part of what has made the beverage so popular throughout the world. We are happy to continue with the winning formula."

The news of the definitive agreement of Dark Dog follows the recent announcement that Cardinal, the venerable Miami-based financial services and investment banking firm, brought XStream Beverage Group into its portfolio. The incubator relationship is a first for Cardinal, though the firm has long given private investors access to public offering shares. Cardinal has signed a firm commitment letter to provide XStream Beverage with funding of $10 million, including $3 million in equity financing and $7 million in a secondary offering.

About NCLII

Nutraceutical Clinical Laboratories International, Inc., was incorporated in 1999 to provide research, development and product testing to the nutraceutical, preservative and medical products industry. In 2001 the Company began to focus its efforts on bringing to market one of its own intellectual properties, NuPreserv(TM), a revolutionary new food preservative in the $20 billion worldwide market for value-added food ingredients. In January of 2002, the Company successfully launched the manufacture and sale of NuPreserv(TM) and began shipment to one of the nation's leading bakeries. The company is also continuing its testing of NuPreserv with several other bakeries.

NuPreserv(TM) eliminates the need for added flavors or fragrances used to cover up the bad tastes and/or smells from the use of chemical preservatives.

The Company believes the applications for NuPreserv(TM) extend beyond the baked goods segment of the food industry. Extensive research and development testing is currently being conducted in the beverage, meat, poultry, produce and seafood markets. NuPreserv(TM) does not replace pasteurization or sterilization but is an alternative to toxic chemicals currently being used in foods and beverages.

The new company, 51% held by Kirin Beverage Corp., 25% by Groupe DANONE and 24% by Mitsubishi Corp., will handle the importation, marketing and sales of Volvic as well as the production, marketing and sales of Alkali Ion, the brand that will be brought to the company by Kirin Beverage Corp.

Natural Supplement System May Prevent Periodontal Disease, Study Finds

GREENVILLE, PA, —Carolwood Corporation today announced the preliminary results of a 42-person human study, showing that those patients receiving a series of treatments with an all-natural system containing Lignisul MSM, along with conventional periodontal treatment, had a 66.8% reduction in gum problem areas compared to those patients who only received the conventional treatment consisting of periodontal root planings.

“The study showed that the number of periodontal pockets (the space between the gums and the tooth) of 4 mm or more decreased by 66.8% with Perio-Tek, an all natural approach to periodontal disease,” said Marvin Frager, DMD, who conducted the research. “Periodontal pockets in the control group decreased 11.5%.”

“Pockets from periodontal disease can be a result of harmful oral bacterial, poor oral hygiene and lowered immunity,” said Dr. Frager. “Based on these results, we believe the Perio-Tek system may prevent periodontal disease, in most cases, and reverse it in those patients who already have the disease.”

In addition, there was an average decrease in all pocket size measurements of 15.5% in the patients receiving the natural supplements and treatments, compared to only 0.2% decrease for the control group; and the bleeding index (a measure of gum bleeding caused by periodontal disease) decreased 59.6%, compared to 20.06% in the control. “Up to this point, the standard treatment has consisted of deep root planings plus application of antibiotic gels in the pocket areas, as well as oral antibiotics,” said Dr. Frager. “However, this only temporarily kills the bacteria causing the periodontal disease.”

The Perio-Tek system includes perriodontal root planings and treatment with an all-natural gel—in a tray and under the gums with a syringe. The gel consists of Lignisul MSM plus other proprietary natural ingredients. In addition, the natural supplement system includes a home care kit consisting of: 1) Chewable mints that adhere to the gums and teeth for up to four hours, killing the harmful bacteria, and improving breath; 2) A systemic immune boosting product, containing Lignisul MSM, to replace the healthy bacteria in the gastrointestinal tract; and 3) A method of replacing healthy bacteria in the gums and mouth. “The natural supplement system is designed to keep harmful bacteria and periodontal disease from returning, so the patient will only require periodic maintenance care,” added Dr. Frager. “With conventional care, periodontal disease often returns, and is progressive, requiring expensive repeat treatments with harsh chemicals that can cause side effects. The natural supplement system is less costly than conventional treatment with antibiotics and produces no negative side effects.”

Carolwood Corporation, Greenville, PA, is the exclusive supplier of Lignisul MSM, a nutritional supplement that provides biologically active sulfur for a variety of ailments, including arthritis, muscle and joint pain. For information, call (724) 589-0300, or visit www.msm.com.

Ephedra Industry offers Help to Defense Secretary Rumsfeld in Educating Military Personnel and Families on Proper Ephedra Consumption

LETTER TO RUMSFELD STRESSES SAFETY AND WEIGHT LOSS BENEFITS, IMPORTANCE OF ASSURING CONTINUED MILITARY PERSONNEL OPTION TO PURCHASE LEGAL EPHEDRA PRODUCTS

WASHINGTON (September 6, 2002) - Today, the responsible manufacturers and distributors of Ephedra dietary supplements released a letter to Defense Secretary Donald Rumsfeld offering to collaborate on educating the millions of military personnel and their families about the proper consumption of Ephedra dietary supplements.

In the letter, the Ephedra Education Council stated that it is "eager to support the military leadership in an effort to educate personnel on the issue of appropriate consumption of Ephedra products."

The letter continues, "The American Obesity Association has reported that 54 percent of military personnel are overweight, and 6.2 percent are considered obese. Sound scientific research continues to show that Ephedra dietary supplements are safe and beneficial for weight loss when used as directed, and internationally recognized weight loss experts have pointed out that Ephedra products are among the most effective weight loss options on the market."

For example, in the Harvard/Columbia study, researchers found that the average weight loss for participants who consumed ephedra and caffeine was between 11 and 12 pounds over a 6-month period, and that this weight loss was achieved without significant adverse reactions. The results of this double-blind, placebo controlled study were published in the May 2002 edition of the International Journal of Obesity.

The letter further states, "Ephedra dietary supplement products labeled by responsible industry manufacturers and distributors should continue to be available for all military and non-military personnel and their families to help maintain health weight. The Surgeon General has correctly labeled obesity a national epidemic. Our nation's military personnel and families are certainly not exceptions when it comes to obesity and the serious health problems associated with even limited excess weight."

Finally, the letter concludes, "the best course toward a resolution to the Army's and Air Forces' concerns is through education and appropriate use, not reflexive reaction to consumer group pressure or press reports. Armed forces personnel should have the right to make informed choices about safe products with proven benefits that are legally available to their civilian counterparts."

Editor's Note: For copies of the letter, feel free to contact Richard Price at 202-789-1447 or at [email protected]

New Hope Asia Announces Pavilions for Natural Products Expo Asia 2003

(Hong Kong, August 15, 2002): Responding to requests from large Asian buyers at Natural Products Expo Asia 2002, New Hope Natural Media has established sector-specific pavilions for its 2003 Natural Products Asia event that will create concentrated marketplaces on the show floor. Pavilions for the 2003 event, scheduled for June 18-20, 2003 at the Hong Kong Convention and Exhibition Centre, will center on five major sectors: Food, Supplements, Personal Care, Herbal/Chinese/Alternative Remedies, and Supply.

"Some buyers review our website weeks before a Natural Products event and plan their attendance and the companies they want to see prior to hitting the show floor," said Scott Griggs, Penton Media's Director for Natural Products Expo in Asia. "But many of the buyers our event attracts are at the most senior level of major retailers and wholesalers in Asia, and these people often don't have the time to review the thousands of products and services participating exhibitors have to offer. Sector-specific pavilions save large buyers time and allow exhibiting companies, both large and small, to get in front of key buyers they might otherwise not meet."

Supply Pavilion Launched

New to Expo Asia in 2003 will be a Supplier Pavilion. Geared toward ingredients and raw materials, but also encompassing packaging, labeling, display equipment, and non-food natural products, Expo Asia's Supply Pavilion is set to become a key component of the fastest-growing natural products event in Asia.

"As more and more international companies see Asia as a primary source for quality low-cost raw materials and as Asian companies modernise and require the equipment necessary to effectively package, test, ship, and present finished natural products, the Supply function becomes very important for this industry. We see Supply as a critical part of Natural Products Expo Asia and a pavilion dedicated to supply-related companies helps us to cement our position as the leading natural products supply event in Asia," Griggs added.

Full details on the product components of each pavilion are available at www.naturalproductsasia.com. Companies seeking to learn more about how pavilion participation improves lead generation prospects at Natural Products Expo events and the marketing plan for Expo Asia 2003 pavilions can contact Michael Westcott, Managing Director of New Hope Asia at +852 3402 5000.
